Terms & Conditions of Sale
1. Applicability
- These Terms and Conditions (“Terms”) govern all quotations, offers, orders, fulfilment and sale of products (“Products”) by APPLE GLOBALCARE PVT LTD, (‘’Appleglc.com’’) (“Company”, “we”, “us”) to the purchaser (“Buyer”, “you”), irrespective of channel (website, email, offline).
- These Terms apply unless a separate, signed agreement expressly supersedes them.
2. Definitions
- (a) B2B Buyer — any entity purchasing Products for resale, distribution, institutional use, export, named patient, managed access or government supply, not as an individual end consumer.
- (b) Consumer Buyer — an individual qualifying as a consumer under applicable consumer laws.
3. Quotations & Offers
- All price indications are estimates only. Written quotes are valid for thirty (30) days unless otherwise stated. A binding price is established only upon issuance of a Proforma Invoice.
4. Purchase Orders
- Acceptance: Orders become binding only upon issuance of a Proforma Invoice or written acceptance by the Company.
- Order Requirements: Orders must include correct Buyer details, contract number, delivery terms, quantity and product specifications. Incomplete orders may be refused.
- Conflicting Terms: Buyer’s terms are excluded unless explicitly agreed in writing.
- Time Limit: The Company shall confirm acceptance within five (5) business days.
5. Firm Orders & Cancellation
- Once accepted, orders are firm, non-cancellable and non-refundable except as required by law or agreed in writing. If cancellation is approved, the Buyer is responsible for all costs incurred.
6. Delivery
- Delivery shall be made on the Incoterm specified in the Proforma Invoice in accordance with Incoterms® 2020.
- Delivery dates are estimates only.
- Partial deliveries may occur and be invoiced separately.
- If acceptance is delayed, Products may be stored at Buyer’s risk or resold/disposed of.
7. Risk & Title
- Risk transfers according to agreed Incoterm. Title passes only upon full payment.
8. Price & Payment
- Prices are as set out in the Proforma Invoice and exclude taxes, duties and bank charges unless stated otherwise. Late payments may attract interest up to 18% per annum and suspension of deliveries.
9. Regulatory Compliance
- Buyer is responsible for import permits, customs clearance, licensing, pharmacovigilance and compliance with local laws. The Company does not guarantee registration status in any jurisdiction.
10. Force Majeure
- The Company shall not be liable for delay or failure caused by events beyond reasonable control including natural disasters, epidemics, strikes, wars, governmental actions or shortages.
11. Warranties
- The Company warrants only conformity with manufacturer description at dispatch. All other warranties are excluded to the fullest extent permitted by law.
12. Inspection, Claims & Returns
- Buyer must inspect upon delivery and notify within two (2) calendar days with evidence.
- B2B sales are non-returnable except for verified supply error, damage before risk transfer, expiry at delivery or confirmed NSQ attributable to the Company.
- Consumer rights remain as mandated by law.
13. Limitation of Liability
- Liability is limited to replacement or refund of invoiced value. No indirect or consequential losses are recoverable.
14. Indemnity
- Buyer shall indemnify the Company against claims arising from resale, storage, handling, relabelling or breach of law.
15. Insolvency
- If Buyer becomes insolvent, the Company may suspend deliveries, cancel orders and accelerate payment obligations.
16. Sanctions & Export Controls
- Buyer confirms it is not on sanctions lists and will not distribute Products where prohibited.
17. Confidentiality
- Confidential information shall not be disclosed to third parties.
18. Intellectual Property
- All trademarks and related rights remain property of their respective owners.
19. Notices
- Notices must be in writing to registered addresses or designated emails.
20. Governing Law & Dispute Resolution
- Indian law applies. Disputes shall be resolved by arbitration seated in Mumbai, in English.
21. Entire Agreement
- These Terms together with the Proforma Invoice constitute the entire agreement.
